Provider Terms of Service

These Provider Terms of Service ("Terms") govern the use of the WashPot Provider application and related services ("Service") by vehicle washing businesses that register as Service Providers on WashPot ("Provider", "you", or "your").
WashPot ("WashPot", "we", "our", or "us") operates an online marketplace that connects customers with independent vehicle washing businesses.
By registering a Provider account or using the Service, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, you must not use the Service.
1. Relationship Between WashPot and Providers
WashPot provides a technology platform through which customers discover, book, and pay for services offered by Providers.
- You are an independent business. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and WashPot, except for the limited payment collection role described in Section 6.
- You, and not WashPot, are responsible for performing the services booked by customers and for the quality of those services.
- You are responsible for your own employees, including their conduct and their use of Employee accounts. Employees' use of the Service is also governed by the Employee Terms of Use.
2. Eligibility and Registration
To register as a Provider, you must:
- Be at least 18 years of age and legally capable of entering into binding agreements, and be authorised to act on behalf of the business you register.
- Provide accurate and complete business information, including business name, address, location, and contact details.
- Verify your email address, or sign in using a supported third-party sign-in option.
- Keep your account information, business information, and bank details accurate and up to date.
- Maintain the confidentiality of your login credentials.
You are responsible for all activity carried out through your Provider account and any Employee accounts created under it.
3. Listings, Services, and Pricing
You may configure the services you offer, service prices, premium percentage, pickup pricing, schedules, capacity, and holiday settings through the Service.
- You are responsible for ensuring that your listings, prices, and service descriptions are accurate and lawful.
- The price of each booking is calculated by WashPot at checkout using your configured prices together with WashPot's fees, and is shown to the customer before payment.
- Changes to your prices apply only to bookings made after the change.
- You must honour bookings made at the prices displayed at the time of booking.
4. Bookings
- A booking is confirmed only after the customer's payment has been successfully received. WashPot will notify you of confirmed bookings through the Service.
- You must make reasonable efforts to perform every confirmed booking at the booked time and in the booked service mode.
- You must update booking statuses accurately through the Service, including marking bookings as completed when the service has been performed.
- Providers cannot currently cancel confirmed bookings through the Service. If you are unable to fulfil a booking, you must contact WashPot promptly. Where a booking cannot be fulfilled because of the Provider, the customer will be refunded in full, and no earnings will be payable to you for that booking.
5. Fees and Commission
- Commission. WashPot charges a commission on each booking, currently 5% of the service price (excluding pickup fee and premium). The commission is deducted from the amount payable to you.
- Customer fees. WashPot may charge customers a platform fee and a convenience fee. These fees belong to WashPot and are not part of your earnings.
- Changes. WashPot may change the commission rate or other fees from time to time. We will notify you of changes in advance through the Service, by email, or by other appropriate means. Changes apply only to bookings made after they take effect. Continued use of the Service after a change takes effect constitutes acceptance of the change.
6. Payment Collection
Customers pay for bookings online through WashPot's payment gateway partner, Razorpay.
- You appoint WashPot as your limited agent to collect payments from customers for services booked through the Service, and to remit your earnings to you in accordance with these Terms.
- Payment by a customer to WashPot (through Razorpay) of the amount due for a booking discharges the customer's obligation to pay for that booking.
- You must not request or accept payment directly from customers for bookings made through the Service, or ask customers to cancel bookings in order to transact outside the Service.
7. Earnings
You earn money from bookings as follows:
- Completed bookings. When a booking is marked as completed, you earn the service price, less WashPot's commission, plus any pickup fee and premium.
- Customer no-shows. If a customer does not attend their booked slot and the booking is marked as a no-show, you earn the same amount as for a completed booking.
- Late cancellations. If a customer cancels a confirmed booking less than 24 hours before the booked slot (other than within the grace period after booking), you receive the booking's premium as compensation for the reserved slot.
- Early cancellations. If a customer cancels within the grace period after booking, or 24 hours or more before the booked slot, no earnings are payable to you for that booking.
Refunds to customers are determined by WashPot in accordance with the cancellation and refund terms of the Customer Terms of Service. Each booking gives rise to at most one earning.
8. Payouts
- Bank details. To receive payouts, you must provide valid bank account details in the name of the Provider business or its authorised owner. Your bank details are shared with our payout partner, RazorpayX, and must be verified before payouts can be made.
- Schedule. Earnings are paid out automatically, generally once a day, by bank transfer through RazorpayX. All of your unpaid earnings at the time of each payout run are combined into a single transfer.
- Unverified accounts. If you have not added or verified bank details, your earnings remain recorded as owed to you and are paid in the first payout run after your bank details are verified.
- Failed or returned payouts. If a payout fails, is rejected, or is returned by your bank, the earnings are again recorded as owed and are retried in a subsequent payout run. You must promptly correct any inaccurate bank details.
- Incorrect bank details. WashPot is not responsible for losses or delays resulting from inaccurate bank details you provide.
- Payout fees. WashPot currently bears the transfer fees charged by RazorpayX for payouts. WashPot may change this with advance notice.
- Overpayments. If any amount is paid to you in error, including as a result of a technical error or a duplicate payout, you must return it to WashPot on request, and WashPot may set it off against future earnings.
- Timing. Payout timing depends on banks and payment partners, and WashPot does not guarantee that a payout will reach your account at a particular time.
9. Statements and Disputes
You can view your earnings and payout information through the Service. If you believe any earning or payout is incorrect, you must notify WashPot within 30 days of the relevant booking or payout. WashPot will investigate in good faith using its records and Razorpay's records.
10. Taxes
You are responsible for determining and paying all taxes applicable to your services and earnings, including GST and income tax, and for any registrations required by law. WashPot may collect tax information from you, and may deduct or collect taxes from payments where required by applicable law.
11. Customer Information
You may receive limited customer information solely to perform booked services. You must not use customer information for any other purpose, share it with unauthorised persons, or contact customers for marketing or solicitation. Your handling of customer information must comply with applicable law and the WashPot privacy policies.
12. Ratings and Reviews
Customers may rate and review your services. You must not post fake reviews, manipulate ratings, or offer incentives in exchange for reviews. WashPot may remove reviews where required by law or to protect the integrity of the Service.
13. Prohibited Conduct
You must not:
- Create fake bookings, mark bookings as completed or as no-shows when that is not the case, or otherwise manipulate booking statuses or earnings.
- Accept payment from customers outside the Service for bookings made through the Service.
- Provide false business, identity, or bank information.
- Harass, threaten, or discriminate against customers.
- Misuse customer information.
- Attempt to gain unauthorised access to WashPot systems, or reverse engineer or interfere with the Service.
- Violate any applicable laws.
14. Suspension and Termination
WashPot may suspend or terminate your account, withhold payouts pending investigation, or remove your listings where you breach these Terms, engage in fraudulent activity, receive repeated serious complaints, or create risk for customers, WashPot, or the platform.
You may request deletion of your account in accordance with the Provider Account Deletion Policy. Any amounts owed to or by you at the time of termination or deletion will be handled in accordance with these Terms and applicable law. Financial records are retained as required by law.
15. Intellectual Property
The Service, including its software, trademarks, logos, and interfaces, is owned by or licensed to WashPot. You receive a limited, revocable, non-exclusive licence to use the Service for operating your business on WashPot.
You grant WashPot a non-exclusive, royalty-free licence to display your business name, description, images, services, prices, and ratings within the Service and in materials promoting the Service.
16. Privacy
Information about Providers and Employees is processed in accordance with the Provider Privacy Policy.
17. Disclaimer
The Service is provided on an "as is" and "as available" basis. WashPot does not guarantee any minimum number of bookings or level of earnings, or that the Service will be uninterrupted or error-free.
18. Limitation of Liability
To the fullest extent permitted by applicable law, WashPot shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits or business opportunities, arising from the use of the Service. WashPot's total liability to you in connection with these Terms shall not exceed the total commission received by WashPot from your bookings in the three months preceding the claim, except for amounts properly owed to you as earnings.
Nothing in these Terms excludes liability where such exclusion is prohibited by law.
19. Indemnity
You agree to indemnify WashPot against claims, losses, and expenses arising from your services, your breach of these Terms, or your violation of applicable law or the rights of any third party.
20. Changes to these Terms
WashPot may update these Terms from time to time. Material changes will be communicated through the Service, by email, or by other appropriate means. Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
21. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in Mangaluru, Karnataka, India.
